Terms of Service

These Terms are written for the current local-first product experience and planned cloud services. They cover optional account, sync, backup, payment, and AI-assisted features that may be offered later.
1. Acceptance of these Terms
These Terms of Service govern your access to and use of memz, including the memz mobile application, website, waitlist, account features, cloud synchronization, backup, AI-assisted recall, and any related services provided by Agentlas (collectively, the Service).
By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
memz is designed as a local-first memory app that helps you organize, preserve, and retrieve information from photos, screenshots, audio, notes, and related source materials.
Some features may operate only on your device. Other features may, if you enable them or create an account, use cloud services for backup, synchronization, account management, collaboration, AI-assisted recall, support, billing, or security.
We may offer beta, preview, experimental, or waitlist-only features. Those features may change, break, or be discontinued without notice.
3. Accounts and security
You may need an account to use cloud features. You are responsible for the accuracy of the information you provide and for keeping your sign-in credentials secure.
You must promptly notify Agentlas if you believe your account, device, or cloud workspace has been compromised.
We may suspend or limit access if we believe doing so is necessary to protect users, the Service, or Agentlas.
4. Your content and permissions
You retain ownership of the content, files, notes, photos, screenshots, audio, text, metadata, and other materials you add to the Service (User Content).
You grant Agentlas a limited license to host, process, transmit, display, index, analyze, and otherwise use User Content only as needed to provide, secure, maintain, troubleshoot, and improve the Service, including cloud and AI-assisted features you choose to use.
You are responsible for ensuring that you have the rights and permissions needed to upload, process, or share User Content through the Service.
5. AI-assisted features
The Service may include AI-assisted search, summarization, classification, clustering, recall, transcription, or recommendation features.
AI output may be incomplete, inaccurate, or inappropriate for your use case. You are responsible for reviewing AI output before relying on it, especially for legal, medical, financial, employment, safety, or other high-impact decisions.
Unless we state otherwise for a specific feature, the Service is not designed to provide professional advice.
6. Acceptable use
You may not use the Service to violate the law, infringe rights, upload malware, bypass security, scrape or overload the Service, interfere with other users, or process content you do not have the right to use.
You may not use the Service to develop or deploy systems that cause unlawful discrimination, harassment, surveillance, identity theft, exploitation of minors, or other harmful activity.
We may remove content, restrict features, or suspend accounts when we reasonably believe these Terms have been violated.
7. Payments and subscriptions
Some features may require payment, a subscription, usage credits, or a separate commercial agreement. Pricing, limits, renewal terms, and cancellation options will be shown before purchase or in the applicable order form.
Taxes, app-store platform rules, and third-party payment processor terms may apply.
Unless required by law or stated in a specific plan, fees are not refundable after the relevant billing period begins.
8. Privacy
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using the Service, you acknowledge the Privacy Policy.
For local-only features, data may remain on your device unless you choose to export, sync, back up, share, or process it through cloud features.

9. Third-party services
The Service may integrate with app stores, authentication providers, cloud infrastructure, analytics, payment processors, AI providers, email tools, or other third-party services.
Third-party services are governed by their own terms and privacy policies. Agentlas is not responsible for third-party services that it does not control.
10. Service changes and availability
We may add, change, suspend, or discontinue features at any time. We may also impose limits on storage, bandwidth, AI usage, sync frequency, or other operational resources.
We do not guarantee that the Service will be uninterrupted, error-free, or available in every region or on every device.
11. Disclaimers
The Service is provided on an as-is and as-available basis. To the maximum extent permitted by law, Agentlas disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
You are responsible for keeping independent backups of important materials. Local devices, cloud systems, and AI-assisted features can fail.
12. Limitation of liability
To the maximum extent permitted by law, Agentlas will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunities.
To the maximum extent permitted by law, Agentlas' total liability for all claims relating to the Service will not exceed the amount you paid to Agentlas for the Service in the twelve months before the event giving rise to the claim, or USD $100 if you paid nothing.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, create risk for the Service, or if we discontinue the Service.
After termination, sections that by their nature should survive will survive, including ownership, privacy, disclaimers, limitation of liability, and dispute-related provisions.
14. Governing law and disputes
These Terms and any disputes related to the Service will be handled under applicable law, without limiting mandatory consumer protection rights that may apply in your location.
If Agentlas launches paid cloud, enterprise, or region-specific services, additional order terms, dispute terms, or local terms may apply and will be presented before they take effect.
